Intellectual Property Rights

All intellectual property rights in and to the products, tools, and services provided by Entity Atlas (together, the Services) are owned by, or licensed to, Entity Atlas and are protected by copyright, trademark, database, trade secret, and other laws around the world. In this notice, Entity Atlas, we, us, and our refer to Entity Atlas together with its affiliates, parent companies, subsidiaries, related entities, and trading names operating in the jurisdictions in which we provide the Services.

The intellectual property owned by or licensed to Entity Atlas includes, without limitation:

• Models and methodologies. Our structuring models, transfer pricing methodologies, analytical approaches, and the logic that underpins them.
• Frameworks and templates. Document frameworks, template agreements, policies, checklists, and the structure, wording, and arrangement of these materials.
• Software and tools. The platform, applications, source and object code, user interfaces, calculators, and underlying systems.
• Content. Text, graphics, designs, reports, documentation, and other materials made available through the Services.
• Brand. The Entity Atlas name, logos, marks, and trade dress, along with the look and feel of the Services.

The Entity Atlas name, logo, and any associated marks and trading names are proprietary to Entity Atlas. You may not use them, or any confusingly similar mark, without our prior written consent. All other names, logos, and marks appearing in the Services are the property of their respective owners.

Subject to your full compliance with our Terms and Conditions and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the deliverables produced through the Services for your own internal business purposes within your group.

This licence does not transfer ownership of any underlying intellectual property. All rights not expressly granted are reserved by Entity Atlas. The licence terminates automatically on any breach of these terms.

Except as expressly permitted in writing by Entity Atlas, you must not:

• Resell, sublicense, rent, lease, distribute, publish, or otherwise commercially exploit any part of the Services, our models, frameworks, templates, or deliverables.
• Copy, reproduce, adapt, translate, or create derivative works from our materials beyond the limited internal use expressly licensed.
• Remove, obscure, or alter any copyright, trademark, or other proprietary notice.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or methodology of the Services, except to the extent this restriction is prohibited by law.
• Use our materials to develop, train, or improve any competing product, model, dataset, or service.
• Make our materials available to any third party, or use them on behalf of any third party, outside the scope of the licence granted.
• Represent our models, frameworks, or content as your own.

Unauthorised use, copying, reselling, or distribution of our intellectual property is a serious matter. It may constitute infringement of our rights and a breach of our Terms and Conditions, and it may expose you to civil and, in some jurisdictions, criminal liability.

Where unauthorised use occurs, Entity Atlas reserves the right to pursue all available remedies, including:

• Immediate suspension or termination of your access and licence.
• Injunctive and other equitable relief to prevent continued or threatened infringement.
• Recovery of damages, including any profits derived from the unauthorised use, together with interest.
• Recovery of legal costs and expenses to the extent permitted by applicable law.

If you provide suggestions, ideas, or feedback about the Services, you grant Entity Atlas a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate that feedback into the Services without any obligation or compensation to you.

We respect the intellectual property rights of others and ask that you do the same. If you believe that content within the Services infringes your rights, or if you become aware of any unauthorised use of our materials, please notify us at contact@entityatlas.io with sufficient detail to allow us to investigate.

All rights not expressly granted in this notice or in our Terms and Conditions are reserved by Entity Atlas. No provision of the Services should be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any intellectual property without our prior written consent.
